General information

TruNifty LLC (“TruNifty,” “we,” or “us”) offers the Colors for Peace (“CFP”) Non-Fungible Tokens (“NFTs”) subject to these Terms and Conditions (as amended from time to time, the “Terms”). By purchasing the CFP NFTs you acknowledge that you have read and agree to these Terms.

Colors for Peace is a collection of digital artworks associated with unique NFTs running on the Ethereum network, offered by TruNifty to raise money (the “Offering”) and donate the net proceeds of the Offering to an international organization (UNICEF) for the purpose of helping Ukrainian children. TruNifty is not associated with UNICEF or any Ukrainian government authority and this initiative is TruNifty’s alone.

TruNifty will not, and do not intend to, make any profit from this NFT offering. We will donate all net proceeds (meaning, all proceeds net of any gas fees and/or platform/transfer fees payable to third parties such as OpenSea) to UNICEF. TruNifty will not seek reimbursement for the money it spent for the production of the NFTs. Prospective buyers should only purchase the Colors for Peace NFTs if they would like to help Ukrainian children who are suffering because of the ongoing war, and/or as collectibles, not as investments or with an expectation of profit.

Purchasers are solely and entirely responsible for the safety and administration of their own private Ethereum wallets and validating all transactions. Purchasers are expected to be familiar, or familiarize themselves, with how blockchain and the Ehereum network works, and should be aware that, there is no ability to undo, reverse, or restore any transactions associated with their purchase of the Color for Peace NFTs.

The CFP NFTs and any connected services are provided “as is” and/or “as available” without warranty of any kind and for any particular purpose. By purchasing them you are accepting sole responsibility for any and all transactions involving the CFP NFT digital collectibles, and also acknowledging that you are not purchasing the CFP NFTs as investments or with an expectation of profit.

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES THAT YOU SUBMIT ANY CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION BEFORE AAA UNDER ITS COMMERCIAL RULES AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST TRUNIFTY, ITS CONTROL PERSONS, DIRECTORS, OFFICERS, OWNERS, AGENTS AND/OR EMPLOYEES ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.

We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. Your continued use of the Site after the date any such changes become effective constitutes your acceptance of the new Terms of Use.

By agreeing to these Terms, you hereby certify that you are at least 18 years of age. If you do not agree to these Terms, you may not purchase the CFP NFTs from TruNifty.

Blockchain Features

A CFP NFT is a non-fungible Ethereum-based token. The Ethereum blockchain provides an immutable ledger of all transactions that occur on the blockchain. This means that all CFP NFTs are outside of the control of any one party, including us, and are subject to many risks and uncertainties. TruNifty neither owns nor controls any wallets, the Ethereum network, your browser, or any other third party site, product, or service (including third party wallets or marketplaces) that you might access, visit, or use for the purpose of enabling you to purchase, list, auction, or sell CFP NFTs. As such, TruNifty has no responsibility with respect to any transaction you engage in. TruNifty will not be liable for the acts or omissions of any third parties, nor will TruNifty be liable for any damage that you may suffer as a result of your transactions or any other interaction with any third parties. You understand that your Ethereum public address will be made publicly visible whenever you engage in a transaction. Aside from transferring control of the TruNifty NFT to the initial purchaser, TruNifty has no control over the transfer, storage, ownership or maintenance of the CFP NFT.

Ownership

i. You Own the Colors for Peace NFT. Each Colors for Peace digital artwork collectible is associated with a unique NFT minted on the Ethereum blockchain. When you purchase a CFP NFT, you own the underlying digital artwork associated with that CFP NFT. Ownership of the NFT is memorialized and mediated by the smart contract and the Ethereum Network: at no point may we seize, block, or otherwise modify the ownership of any CFP NFT.

ii. Personal Use. Subject to your continued compliance with these Terms and Conditions, TruNifty grants you a worldwide, royalty-free license to use, copy, and display the purchased art, along with any extensions that you choose to create or use, solely for the following purposes: (i) for your own personal, non-commercial use; (ii) as part of a marketplace that permits the purchase and sale of your CFP NFT, provided that the marketplace cryptographically verifies each CFP NFT owner’s rights to display the artwork for their CFP NFT to ensure that only the actual owner can display the artwork; or (iii) as part of a third party website or application that permits the inclusion, involvement, or participation of your CFP NFT artwork, provided that the website/application cryptographically verifies each CFP NFT owner’s rights to display the artwork for their CFP NFT to ensure that only the actual owner can display the artwork, and provided that the artwork is no longer visible once the owner of the CFP NFT leaves the website/application.

iii. Commercial Use. Subject to your continued compliance with these Terms, TruNifty grants you an unlimited, worldwide license to use, copy, and display the purchased art for the purpose of creating derivative works based upon the art. Examples of such commercial use would include using the art to produce and sell merchandise products and/or displaying copies of the art in order to earn revenue from any of the foregoing.
